Fairfax India Holdings Corporation, acting through its affiliate company FIH Mauritius Investments Ltd (FIHM), acquired an additional 11.22 percent stake in IIFL Capital by investing 200 billion rupees.
According to regulatory filings, IIFL allotted 57,142,857 shares of FIHM on November 4, 2026, at a price of 350 rupees per share, totaling 200 billion rupees.
Following the preferential allotment, Fairfax India Holdings Corporation's stake in IIFL Capital increased from an initial 26.82 percent to 38.04 percent.
The company noted that as per Rule 22(2A) of the SEBI (SAST) Regulations, the shares allotted under this preferential issue will not carry voting rights until the completion of the public offer and will be held in a separate demat escrow account, as required by the SEBI (SAST) Regulations.
In September, the Competition Commission of India (CCI) approved the proposal by Fairfax India Holdings Corporation to acquire an additional stake in IIFL Capital Services.
FIHM is a private company based in Mauritius that engages in investment holding, focusing on long-term capital appreciation and preservation through investments in Indian equities and debt securities. The company holds a global business license and does not conduct any other activities.
FIHM is wholly owned by Fairfax India Holdings Corporation, a Toronto-registered company whose ultimate owner is Fairfax Financial Holdings Ltd, a Canadian holding company involved in property and casualty insurance, reinsurance, and investment management in several countries, including India.
Furthermore, the government approved on October 14 the sale of a 60.72 percent stake in IDBI Bank by Fairfax Financial Holdings for approximately 530 billion rupees (US$5.5 billion), which would be the largest foreign investment in an Indian bank and a significant step in the country's long-awaited banking privatization process.
