Equitas appoints Balaji Nutalapadi as interim CEO following departure of P. N. Vasudevan

The Board of Directors of Equitas Small Finance Bank Ltd has approved the appointment of Balaji Nutalapadi as the bank's interim Chief Executive Officer, subject to approval from the Reserve Bank of India (RBI).

This decision was made based on the recommendation of the Nomination and Remuneration Committee. The appointment follows the departure of P. N. Vasudevan from his roles as Managing Director and Chief Executive Officer of the bank.

Vasudevan's departure was attributed to investor concerns regarding a potential conflict of interest arising from his daughter's connection with a Non-Banking Financial Company (NBFC).

As an executive, Nutalapadi has made significant contributions to the development of the bank's digital capabilities, technology modernization, and enhancement of operational efficiency.

Prior to joining Equitas Small Finance Bank, he worked for 28 years at Citi, holding positions such as Managing Director and Head of Citi Solutions centers in India, as well as Head of Operations and Technology in India.

He worked in various regions across Asia, Europe, West Asia, and Africa (EMEA), taking on roles related to asset sales, wealth management, reengineering, consumer operations, technology, and leading global centers of excellence. Furthermore, he oversaw the expansion of Citi's global hubs in India.

Nutalapadi's assumption of office will take place on the date of RBI approval or any other date set by the central bank. Equitas stated that it will ensure a smooth transition to maintain stability among stakeholders and investors.

The Board of Directors expressed gratitude to Vasudevan for his contribution and leadership during his tenure. The bank will determine Vasudevan's release date after receiving RBI approval for the interim CEO appointment and following consultations with him.

Additionally, the bank has initiated the search process for a permanent successor and will submit its recommendation to the RBI in accordance with applicable regulatory requirements. In its statement, Equitas emphasized its commitment to strategic priorities, business goals, and the mission of providing inclusive, responsible, and customer-centric banking services, as well as its intention to strengthen client relationships and create sustainable value for all stakeholders.

CEO Equitas SFB Vasudevan resigns amid investor concerns regarding potential conflict of interest

P N Vasudevan, the Managing Director and Chief Executive Officer of Equitas Small Finance Bank (SFB), submitted his resignation on Thursday. This decision came less than three months after the board had extended his term until July 2029. The reason cited was ongoing apprehension from investors concerning a perceived conflict of interest linked to his daughter's involvement with a non-banking financial company (NBFC).

Following the public announcement of his departure, the lender's stock experienced a significant decline, dropping 20 percent during intraday trading and touching the lower circuit, before settling over 12 percent lower at ₹56.99 on the BSE.

In his formal resignation letter, dated October 29, Vasudevan stated that the perception of a conflict of interest remained despite his efforts to reassure investors that no current dealings existed between the bank and the NBFC. He noted that this issue negatively impacted the bank's stock performance and hindered value creation for both shareholders and employees.

Vasudevan defended his position in the letter sent to the bank's chairman, asserting that his role as MD of a bank alongside his daughter serving as a co-promoter of an NBFC falls within the parameters of the Banking Regulations Act. He further clarified that the NBFC, which his daughter promoted, obtained a license from the Reserve Bank of India (RBI) in 2023, and that both his association with the bank and her role in the NBFC had been duly disclosed to the board and the RBI, as mandated.

He emphasized that the only transaction between Equitas SFB and the NBFC was a short-term deposit made approximately two and a half years prior, which was subsequently repaid upon maturity, confirming the absence of any other dealings, such as loans, between the two entities. Vasudevan remarked, “Sometimes perceptions are stronger than reality,” adding that investors had repeatedly brought up this matter during meetings over the last three years. To alleviate this 'overhang' caused by the perception issue, he expressed his desire to step down, hoping his exit would allow the stock price to better reflect the bank's actual financial health.

The bank's board acknowledged his resignation during a meeting held on Thursday and asked him to remain in his capacity as MD & CEO until a replacement is appointed. The nomination and remuneration committee is tasked with identifying appropriate internal and external candidates, whose appointments require approval from the RBI and other relevant regulatory bodies.

Vasudevan established Equitas as a microfinance institution in 2007 and oversaw its transformation into an SFB in 2016. Prior to founding Equitas, he worked for two decades at Cholamandalam, followed by a brief period at DCB Bank. In his correspondence, he mentioned his intention to take a hiatus after dedicating roughly 20 years to Equitas to concentrate on establishing a fund for a trust aimed at assisting a different societal group.

This change in leadership occurs as the bank aims to capitalize on its recent business expansion. Vasudevan reported that the bank's total business surpassed ₹1 trillion in the quarter ending September 2026, concurrently achieving its highest quarterly profit to date of ₹218 crore. The SFB has outlined a five-year strategy extending to March 2031, targeting an annualized growth rate exceeding 20 percent for both advances and deposits, with the goal of reaching approximately ₹1.2 trillion in each category. Over the preceding five years, advances and deposits have demonstrated compound annual growth rates (CAGRs) of about 26 percent and 27 percent, respectively. Furthermore, he noted that unsecured microfinance constituted around 10 percent of the bank's advances, and its branch network had expanded to approximately 1,100 locations.

It was revealed that this marks the second instance of Vasudevan stepping down from the role. In May 2022, he had previously resigned as MD & CEO but later retracted that decision in December 2022, following the board's request for him to continue leading the bank, at which time his plan was to dedicate more time to his social service endeavors. The SFB's board conveyed that it did not anticipate this leadership transition would negatively impact the lender's long-term strategic objectives.

Anup Bagchi takes over as CEO and Managing Director of HDFC Bank, succeeding Sashidhar Jagdishan

HDFC Bank, the country's largest private lender, announced on Tuesday that Anup Bagchi has taken on the roles of Managing Director and Chief Executive Officer of the bank. His predecessor, Sashidhar Jagdishan, left his post on Monday after completing his term, according to stock exchanges.

Bagchi, who has experience working with the ICICI group, becomes the first external leader of HDFC Bank in more than three decades of its history. Previously, he held the position of Managing Director and CEO at ICICI Prudential Life Insurance.

He begins his tenure during a challenging period when the bank is facing several issues, including slowing core income growth and declining margins, which has raised investor concerns. During the earnings call he attended, Bagchi noted that some work related to the bank's merger with the major housing finance giant HDFC in 2023 still needs to be completed, and stated plans to meet with all stakeholders for a better understanding of the bank's operations.

Bagchi also highly praised the strong and determined leadership at HDFC Bank, despite speculation about whether he would stay with the current team or bring in new personnel. Furthermore, Kaized Barucha, an HDFC Bank veteran serving as Deputy Managing Director, announced his intention to retire by December of this year.

Previously, Jagdishan had indicated his inability to extend his tenure amid allegations of corporate governance shortcomings. The bank's own investigation also revealed deficiencies in the practice of depositing large sums by paying the depositor an amount exceeding the card rate under a different name. Jagdishan was also fined for this practice.

In March of this year, the unexpected resignation of the bank's non-executive chairman, Atanu Chakraborty, linked to values and ethics issues, highlighted certain practices within the country's largest private lender. In a report to the stock exchange submitted on Tuesday, HDFC Bank expressed sincere gratitude to Jagdishan for the strategic vision and unwavering commitment demonstrated throughout his distinguished tenure. The bank noted that his leadership played a crucial role in strengthening the bank's performance, culture, and customer-centric approach, as well as successfully completing one of the largest mergers in corporate India.

At the time of publication, HDFC Bank shares were trading at ₹688.7 on the BSE, showing a rise of 0.07 percent, while the benchmark index showed a correction of 0.11 percent.
