Government extends deadlines for submitting annual financial reports and company declarations

The Ministry of Corporate Affairs has announced an extension of the deadlines for companies to submit their annual financial reports for the 2025–26 fiscal year until December 31. Furthermore, according to the circular, companies can submit their annual reports to the ministry until January 31, 2027.

This extension was made following requests from stakeholders who faced difficulties in submitting mandatory annual documents through the MCA 21 portal. The circular dated October 24 states that due to the received requests and to ensure the completion of annual reporting, the deadlines have been extended without the need to pay an additional fee.

Details of the Deadline Extension

Now, annual financial reports in electronic formats AOC-4, AOC-4 (CFS), AOC-4 (XBRL), AOC-4 NBFC (Ind AS), and AOC-4 CFS NBFC (Ind AS) for the fiscal year 2025–26 can be submitted until December 31, 2026. Additionally, for the fiscal year 2025–26, annual reports in forms MGT-7 and MGT-7A are accepted until January 31, 2027.

Typically, annual financial reports must be presented within 30 days after the Annual General Meetings (AGM), and the deadline for annual reports is 60 days. Before the issuance of this circular, the final deadlines for submitting annual financial reports and annual declarations for the 2025–26 fiscal year were October 31 and November 30, 2026, respectively.

The Ministry clarified that this circular should not be interpreted as granting any extension for companies to hold AGMs in accordance with the Law, and companies failing to comply with the relevant statutory deadlines will be held responsible under the provisions of the Law.

Portal Issues and Reaction

Under the Companies Act, legal entities are required to file reports through the MCA 21 portal. Recently, stakeholders encountered issues while using this portal. The Institute of Company Secretaries of India (ICSI) stated on Sunday that the extended timeframe provides critical time to overcome technical difficulties during the transition to the MCA 21 V3 portal. ICSI noted that timely assistance reflects the ministry's customer-centric approach and its commitment to simplifying business operations.

Deadline for joining Simples Nacional ends this Thursday (15); details of changes planned for 2027

Small and microenterprises interested in joining Simples Nacional in 2027 must finalize their application by this Thursday, the 15th. This simplified tax regime is intended for companies whose annual revenue does not exceed R$ 4.8 million.

The enrollment schedule was modified due to the tax reform. Previously, opting for Simples Nacional occurred in January of each year. For the next fiscal year, the application period started on September 1, 2026, and its deadline was extended from September 30 to October 15 by the Simples Nacional Management Committee (CGSN).

This change also introduced new dates for selecting the collection modality for taxes generated by the consumption tax reform, specifically the Goods and Services Tax (IBS) and the Contribution on Goods and Services (CBS). The new calendar defines distinct dates for enrollment, correction of pending issues, and the choice of the IBS and CBS collection regime.

The acceleration of the process also established specific rules for withdrawals. Companies that submit an application in September have until November 30, 2026, to cancel the request. However, this cancellation is final, preventing the company from making a new option valid for 2027.

In general, companies that are already opted into Simples Nacional do not need to reapply to remain in the regime. However, it is advisable to check the tax status to identify any pending issues or risks of exclusion in 2027. Those who wish to remain in Simples and keep the collection of IBS and CBS under this regime will also not need to make a new option.

On the other hand, companies that choose to collect these two taxes under the common regime must formalize this choice within the stipulated deadline.

The accelerated calendar does not affect the guidelines for the Individual Microentrepreneur (MEI). The option for Simei, the system applicable to this category, continues to be made in January of each year, until the last business day of the month. Thus, the October deadline for Simples Nacional should not be confused with the specific calendar for individual microentrepreneurs.

Another modification communicated by the Simples Nacional Management Committee concerns the issuance of the electronic Service Invoice (NFS-e) through the national issuer. The obligation for companies opting into Simples was postponed from September 1 to November 1, 2026, aiming to grant more time for municipalities and companies to make the necessary technological and operational adjustments.

Suggested actions include testing invoice issuance, checking integration with management systems, validating tax data, and preparing internal procedures before the obligation begins.

The regulation also provides for changes in the submission of fiscal and socioeconomic data. The Socioeconomic and Fiscal Information Declaration (Defis) will no longer be submitted separately; its information will be integrated into the Simples Nacional Collection Document Generator Program – Declaratory (PGDAS-D), with annual submission scheduled between January and March.
