Ministry of Corporate Affairs extends deadlines for annual reporting and cancels additional fees for 2026 financial year reporting

The Ministry of Corporate Affairs (MCA) has extended the deadlines for companies to submit financial statements and annual reports for the 2025–26 financial year while simultaneously waiving additional fees. This decision was made following appeals from stakeholders who requested extra time to complete mandatory filings.

In a circular dated October 24, the ministry stipulated that companies can file financial statements using various versions of form AOC-4, including consolidated statements, XBRL format reporting (machine-readable digital report), and relevant forms for Non-Banking Financial Companies (NBFCs), until December 31, 2026, without paying additional charges.

The deadline for submitting annual returns via forms MGT-7 and MGT-7A has been extended until January 31, 2027, according to the same circular.

Form AOC-4 is used for providing financial statements to the Registrar of Companies (RoC), with different variants covering consolidated statements, XBRL reporting, and relevant NBFC documents. Form MGT-7 is used for filing the company's annual return, whereas MGT-7A is intended for one-person and small companies.

This extension was a response to concerns raised by company secretaries and other professionals regarding technical issues on the MCA-21 Version 3 portal. The Institute of Company Secretaries of India (ICSI), in its appeal dated October 9, requested an extension until December 31, 2026, without additional fees, citing recurring portal failures and increased compliance requirements due to updated filing forms.

The MCA-21 Version 3 portal is the online platform of the Ministry of Corporate Affairs through which companies submit mandatory filings and access corporate registry and compliance services. ICSI mentioned frequent portal downtime, slow MCA portal response times, including session expirations and automatic logouts during form preparation and submission, difficulties with login, profile updates, and user access management, errors in pre-filled data and data mismatches upon retrieval, problems with linking Digital Signature Certificates (DSCs) and submission validation failures despite correct data entry, as well as difficulties in viewing, uploading, and tracking submitted forms and approvals.

Deadline for joining Simples Nacional ends this Thursday (15); details of changes planned for 2027

Small and microenterprises interested in joining Simples Nacional in 2027 must finalize their application by this Thursday, the 15th. This simplified tax regime is intended for companies whose annual revenue does not exceed R$ 4.8 million.

The enrollment schedule was modified due to the tax reform. Previously, opting for Simples Nacional occurred in January of each year. For the next fiscal year, the application period started on September 1, 2026, and its deadline was extended from September 30 to October 15 by the Simples Nacional Management Committee (CGSN).

This change also introduced new dates for selecting the collection modality for taxes generated by the consumption tax reform, specifically the Goods and Services Tax (IBS) and the Contribution on Goods and Services (CBS). The new calendar defines distinct dates for enrollment, correction of pending issues, and the choice of the IBS and CBS collection regime.

The acceleration of the process also established specific rules for withdrawals. Companies that submit an application in September have until November 30, 2026, to cancel the request. However, this cancellation is final, preventing the company from making a new option valid for 2027.

In general, companies that are already opted into Simples Nacional do not need to reapply to remain in the regime. However, it is advisable to check the tax status to identify any pending issues or risks of exclusion in 2027. Those who wish to remain in Simples and keep the collection of IBS and CBS under this regime will also not need to make a new option.

On the other hand, companies that choose to collect these two taxes under the common regime must formalize this choice within the stipulated deadline.

The accelerated calendar does not affect the guidelines for the Individual Microentrepreneur (MEI). The option for Simei, the system applicable to this category, continues to be made in January of each year, until the last business day of the month. Thus, the October deadline for Simples Nacional should not be confused with the specific calendar for individual microentrepreneurs.

Another modification communicated by the Simples Nacional Management Committee concerns the issuance of the electronic Service Invoice (NFS-e) through the national issuer. The obligation for companies opting into Simples was postponed from September 1 to November 1, 2026, aiming to grant more time for municipalities and companies to make the necessary technological and operational adjustments.

Suggested actions include testing invoice issuance, checking integration with management systems, validating tax data, and preparing internal procedures before the obligation begins.

The regulation also provides for changes in the submission of fiscal and socioeconomic data. The Socioeconomic and Fiscal Information Declaration (Defis) will no longer be submitted separately; its information will be integrated into the Simples Nacional Collection Document Generator Program – Declaratory (PGDAS-D), with annual submission scheduled between January and March.
