UzPost Shareholders Elect New Nine-Member Supervisory Board for Three Years

Shareholders of the national postal company O’zbekiston pochtasi (UzPost) approved a new supervisory board composition that will be in effect for three years. According to data from the Unified Corporate Information Portal, nine members were included in the new board.

Five of the nine new board members are affiliated with RVB LLC, which is the parent company of Wildberries & Russ. Among the new board members are Akmal Primkulov, CEO of WB INT EXPORT LLC; Evgeny Mitin, Director of Investments and Control Department of RVB; Emil Hasyanov, Deputy Director of the Legal Department of RVB; Pavel Logunov, CFO of RVB; and Alexandra Khmeleva, Director of VB Bank's Regional Development Department.

The state side of the new board is represented by Oleg Pekos, First Deputy Minister of Digital Technologies; Shakhzod Usarov, Specialist of the Audit Chamber; and Muzaffar Astonakulov, Head of the Department of the Ministry of Economy and Finance. An independent member, Roger Crook, also joined the board.

Previously, the powers of the previous supervisory board were terminated early. All shareholders who participated in the voting supported this decision.

The Extraordinary General Meeting of Shareholders of UzPost took place on September 21 with an attendance rate of 93.69%. The meeting minutes were drawn up on September 30, and information about this event was published on the Unified Corporate Information Portal on October 2.

A major transaction was also considered at the meeting. Specifically, shareholders were asked to take note of the opinion of the auditing company Nazorat audit LLC dated September 7 after analyzing the terms of the deal, and to approve the placement of a loan of 100 billion soms for UzPost from WB INT EXPORT LLC at the Central Bank's refinancing rate and to approve the repayment schedule.

The proposal also included the buyback of company shares at market value upon request from shareholders by November 2, followed by their cancellation. However, all shareholders who voted on this issue, representing 100% of those voting, abstained, resulting in the proposed resolutions not being adopted.

The Wildberries press service reported that the company's representatives joined the UzPost supervisory board with the aim of modernizing the postal operator and improving the quality and speed of its services. The company also noted that the participation of Wildberries representatives in the board may contribute to the development of e-commerce in Uzbekistan. The postal service will continue its operations as usual, while new opportunities for development related to investment and technological support are expected.
