Whirlpool of India states it is not involved in parent company negotiations regarding stake sale

Whirlpool of India clarified in documentation for the stock exchange that it is unaware of the details, price, or current stage of negotiations that its parent company, Whirlpool Corporation, may be conducting with potential buyers of its stake.

The company added that Whirlpool Corporation's intention to reduce its stake in the company had been public knowledge since January 2025. Following this, the company took steps to change various internal corporate agreements in the company's interest, which was reported to the stock exchanges on October 16, 2025.

Its report to the exchange indicated that since then, the company has received information from Whirlpool Corporation regarding the stated intention to reduce its stake, including the sale of approximately 11% of its stake in 2025 (which was disclosed to the stock exchanges on November 28, 2025).

Whirlpool of India emphasized that it does not know whether discussions are planned for the sale of the entire stake or only a part, and it does not have information about the terms, price, or stage of these negotiations.

According to the latest share capital structure, the promoter company, Whirlpool Mauritius Ltd., owns 39.76 percent of the shares in the company. The consumer goods manufacturer added in its report that the last communication from Whirlpool Corporation on September 22, addressed to the company's board of directors (on behalf of Whirlpool Mauritius, the promoter), informed about Whirlpool Mauritius's continued desire to sell its shares to a third party as part of a control deal, and that such a proposed sale is currently being considered with more than one potential counterparty.

Previously, Whirlpool Mauritius made two transactions: in February 2024, it sold a 24 percent stake in the Indian subsidiary, and then in November 2025, it sold another 11.23 percent of its stake.
