Online Instruments India receives SEBI approval for ₹750 crore IPO placement

Online Instruments India has received approval from the market regulator SEBI to raise funds through an Initial Public Offering (IPO), as revealed in an update provided to the market surveillance authority on Friday.

The Bengaluru-based company submitted draft documents in May. Subsequently, SEBI published its observations on August 18, 2026, according to available data. In SEBI terminology, receiving such observations is equivalent to obtaining permission to launch a public offering.

The Initial Public Offering of Online Instruments (India) Ltd will involve a new equity issuance of ₹750 crore, along with an offer to sell up to 57.10 lakh shares by shareholders Anita Mahesh Bellad and Rajeshwari Shivanand Mahashetti.

The company may also conduct a private placement of up to ₹150 crore. If such a placement occurs, the size of the new issue will be adjusted accordingly.

According to the draft documents, funds from the new issue amounting to ₹160 crore will be used for the repayment or early repayment of certain borrowings, ₹330 crore—to finance working capital needs, and also to support inorganic growth through unspecified acquisitions and cover general corporate expenses.

The company, established in 2006, specializes in providing Audio Visual System Integration (AVSI) solutions. It offers these solutions for various use cases, including Unified Communications and Collaboration (UCC), conference rooms, auditoriums, Network Operations Centers, and Customer Experience Centers.

Furthermore, the company manufactures Interactive Flat Panel Displays (IFPDs), LED display products, and audio-visual accessories under the brand 'LOGIC'. It also produces white-labeled IFPDs for Original Equipment Manufacturers (OEM) and commercial and architectural lighting fixtures under the brand Orange Plus, operating three manufacturing facilities in Bengaluru.

Financially, operating revenue grew to ₹547.4 crore in the 2025 fiscal year compared to ₹335.9 crore in the 2023 fiscal year, and net profit increased to ₹35.3 crore from ₹15.5 crore over the same period.

Regarding the draft IPO documents of Sunil Gold India Ltd, based in Mumbai, the latest SEBI update indicated that the 'issue was withdrawn/returned on August 14, 2026'. It was not possible to immediately ascertain whether the documents were withdrawn or returned.

He noted that an incident occurring in one entity could potentially spread through suppliers, technological platforms, third parties, or affiliated institutions.

Pandey also stated that vulnerability management must shift from periodic compliance checks to a continuous, risk-based process. This is due to constant changes in software, cloud service configurations, APIs, and dependencies on third-party vendors. As artificial intelligence accelerates both cyberattacks and defensive measures, organizations are obligated to continuously discover, assess, prioritize, remediate, and verify vulnerabilities.

Furthermore, Sebi is preparing for long-term threats stemming from quantum computing. Pandey reported that quantum threat resilience has become a key pillar of the regulator's cybersecurity strategy, and post-quantum cryptography must become a migration program, not merely a subject of future research.

Zetwerk Manufacturing Business Ltd, a technology platform in the manufacturing sector, has submitted updated documents to the regulatory body SEBI for its Initial Public Offering (IPO). This offering will involve raising funds amounting to INR 2,600 crore through a new share issuance.

According to the updated Draft Red Herring Prospectus (UDRHP), filed late on Thursday, the IPO also includes the sale of up to 9.68 crore shares by shareholders and promoters through an Offer for Sale (OFS) mechanism. Promoters Amrit Pratik Acharya and Srinath Ramakrishnana, along with the promoter group structure Creovate Innovation, plan to offload their shares via OFS. Sellers also include Peak XV, Accel, Lightspeed, and Kae Capital.

Zetwerk intends to use INR 1,250 crore of the raised funds to repay corporate debt, and another INR 550 crore to reduce liabilities in its subsidiaries. The remaining amount will be allocated to acquisitions that are yet to be determined, as well as general corporate needs.

The company had previously filed preliminary IPO documents in March through a confidential pre-filing route. Zetwerk has built a technology-based manufacturing network that connects industrial clients with the company's own capacities and third-party suppliers, securing support from investors such as Khosla Ventures, Baillie Gifford, Rakesh Gangwal, Accel, Peak XV, and Lightspeed.

The company's financial performance has shown significant growth: operating revenue increased by 40.4% to reach INR 15,913 crore in FY26 compared to INR 11,332 crore the previous year. Adjusted EBITDA grew more than fourfold to INR 421 crore in FY26 from INR 97 crore in FY24. International markets accounted for nearly 30% of manufacturing revenue in FY26.

Furthermore, the company's order book for manufacturing doubled, reaching INR 12,370 crore in FY26 compared to INR 6,170 crore in FY24. The company operates 26 manufacturing facilities in India, the USA, Germany, and Spain, and collaborates with 6,979 third-party suppliers across various countries. Its clients include Siemens Gamesa, Acer India, CG Power, NTPC Renewable Energy, L&T MHI Power Boiler, DRDO, Indian Air Force, and Numaligarh Refinery Ltd.

Zetwerk operates in two main segments—Manufacturing Business and Business Ecosystem under the Terra91 brand. In FY26, the company discontinued its civil infrastructure business as part of a strategic restructuring. Founded in 2018, Zetwerk was established by Amrit Pratik Acharya, Srinath Ramakrishnana, Vishal Chaudhary, Ankit Fatehpuri, and Rahul Sharma.
