The digital healthcare platform API Holdings, the parent company of enterprises such as PharmEasy, Thyrocare, and Docon, has become free of debt after repaying outstanding liabilities amounting to 1050 crore rupees.
The financing for this operation was secured through funds obtained from the recent sale of a stake in Thyrocare Technologies, as well as internal company reserves.
According to the company's statement, this achievement was made possible after Docon Technologies Private Limited, which is the promoter and holding company of Thyrocare, sold 157,69,696 shares of Thyrocare. These shares accounted for approximately 9.90% of the company's paid-up share capital through market transactions. Following this sale, Docon retains its status as the promoter and holding company of Thyrocare, owning 51.02% of the shares.
API Holdings reported that the debt repayment also led to the removal of encumbrance on the remaining Thyrocare shares held by Docon. The statement clarified that all previously existing encumbrances related to the debt have been lifted, making Docon's 51.02% stake in Thyrocare completely free of liens.
Alok Kumar Jagnani, Managing Director and Group CFO of API Holdings, noted: 'We have fully repaid our term loan, and we did it in a challenging manner without reducing our stake in Thyrocare below 51%. This reflects a capital allocation philosophy where growth and discipline are not mutually exclusive. As each company in the group will soon start generating profits, there is no longer a burden on the profit and loss statement; there remains a clean base for development.'
API Holdings emphasized that since its term loan is fully repaid and the business is beginning to become profitable, the company is moving to the next phase focused on profitable growth, disciplined execution, and creating long-term value in its healthcare ventures.
Siddharth Shah, Vice President of API Holdings, stated: 'The acquisition of Thyrocare proved beneficial for API. Shareholders who chose not to participate in our public offer at a price of 433 rupees per share in July 2021 (including bonus) now own assets valued at 653 rupees at the close of trading on August 14, 2026, including dividends. This represents a return of 51%.'
