The Public Investment Corporation (PIC) has faced growing public scrutiny for its failure to properly implement vital reforms proposed by the Mpati Commission. This situation has exposed the corporation's inability to adopt necessary changes amid recent board crises.
The Public Service Association (PSA) demanded that Finance Minister Enoch Godongwana provide a public report on the progress of implementing the Mpati Commission's recommendations within the organization. Previously, Godongwana had asserted that all recommendations were fully met and past operational and ethical shortcomings had been rectified.
These demands arose following the departure of Matimba Justice Shiburi, who represented the PSA on the board. His exit followed the resignations of non-executive directors Thabi Nkosi and Nosiphiwo Balfour. These departures occurred amidst a governance crisis at PIC, triggered by the preliminary suspension of CEO Patrick Dlamini and subsequent intervention by the Financial Sector Conduct Authority (FSCA), which launched an investigation into PIC due to rising concerns over transparency, leadership stability, and governance.
The PIC board suspended Dlamini over controversial R500 million payments related to the Lanseria airport, as well as for conducting a forensic audit without board approval. The Chief Financial Officer, Batandwa Damayi, has been appointed as interim CEO. The suspension followed an anonymous tip accusing Dlamini of unethical conduct and management failures. This happened immediately after internal conflict within the National Treasury.
Earlier, Finance Minister Enoch Godongwana insisted on a formal internal audit review based on processes rather than immediate suspension. However, the PIC board, led by Deputy Minister of Finance David Masondo, bypassed this requirement and proceeded with the suspension anyway, revealing significant political division. The PSA argues that Shiburi's recent resignation points to deeper systemic governance issues requiring urgent intervention to restore confidence in PIC's strategic direction and oversight.
The union emphasized that the current instability raises a fundamental question about why key Mpati Commission recommendations have not been fully implemented. The Commission proposed strengthening governance, increasing transparency, depoliticizing board appointments, tightening investment oversight, and ensuring PIC acts solely in the interests of clients and beneficiaries. The PSA calls on the Finance Minister to publicly explain the status of these recommendations, as civil servants' pension savings are held by PIC through the Public Service Pension Fund.
Key proposals from the Mpati Commission, including PIC governance reforms and the appointment of an independent chairperson, have yet to be realized. Furthermore, proposals for establishing an independent Integrity Unit and conducting nationwide lifestyle audits remain unfulfilled.
Masondo also uncovered structural disagreements and governance failures within the state asset management company, learning that the board had not been informed of the FSCA's request regarding an anonymous whistleblower. He disclosed this during an employee meeting to assure them of the organization's operational stability amid the governance crisis. Masondo added that the board received independent legal advice before deciding to suspend Dlamini. Political analyst Zakhele Ndlovu noted that the problems at PIC reflect broader societal issues, suggesting that patronage systems and the influence of well-connected individuals impede the full implementation of the Mpati Commission's findings. In turn, the DA party stated that PIC's claim of having fully implemented the Mpati Commission's recommendations is false, and insists on replacing Masondo with an independent individual, as the commission recommended that the Deputy Minister of Finance should no longer hold the position of PIC chairperson.
In light of the Financial Sector Conduct Authority's (FSCA) investigation into the Public Investment Corporation (PIC), attention is now focused on the critically important governance mechanism surrounding South Africa's largest asset manager.
The FSCA's decision to probe recent events at PIC, driven by concerns over governance, whistleblower statements, and the suspension of senior executives, represents a significant regulatory intervention. The FSCA rightly emphasized that PIC holds a unique position in South Africa's financial system as the country's largest asset manager and custodian of a substantial portion of public sector pension savings, making trust in its governance systemically important.
While public discourse has undoubtedly centered on recent governance issues, relatively little attention has been paid to the institutional links between PIC, the Government Employees Pension Fund (GEPF), and the State. PIC manages assets exceeding R3 trillion, with GEPF comprising the vast majority of those assets. These funds primarily originate from mandatory pension contributions made by public servants throughout their careers, representing deferred remuneration held in trust to meet future pension obligations.
This raises an important governance question: how should the interests of the ultimate beneficiaries of these assets be reflected in the governance structure of the institution responsible for managing them? This issue arises not only from the current investigation but is also a political matter requiring careful consideration irrespective of any individual matters before the FSCA.
It is often argued that since GEPF functions as a defined benefit fund, members should not worry about investment returns or governance structures. However, this approach does not diminish the fiduciary duty of those responsible for managing pension assets to act in the best interests of the beneficiaries. Nor does it reduce the importance of transparency, sound management, and rigorous oversight. Strong investment governance ultimately benefits all stakeholders, including pensioners, taxpayers, and the state itself.
PIC has become one of Africa's most crucial institutional investors. Its investment decisions influence capital markets, infrastructure development, public companies, and state-owned enterprises. For this reason, governance at PIC is not merely an internal corporate matter; it has implications for investor confidence, financial stability, and the broader South African investment landscape. Thus, the current regulatory investigation offers an opportunity not only to resolve any issues identified by the FSCA but also to strengthen governance mechanisms for the future.
PSCU believes it is appropriate to examine whether the existing governance structure aligns with international best practices for large pension investment institutions. Questions to be discussed include: should beneficiary representation in governance structures be strengthened; are existing accountability mechanisms adequate; how can the transparency of investment decisions be improved; is further whistleblower protection necessary; and how optimally aligned are the relationships between PIC, its shareholder, and its key clients. These are political questions, not accusations, and they deserve thorough examination through evidence-based analysis involving the National Treasury, Parliament, organized labour, regulators, investment professionals, and governance experts.
South Africa's pension savings system is one of the nation's most valuable national assets. Maintaining trust in this system requires more than just compliance with minimum legal standards. It demands governance mechanisms that demonstrate transparency, professional independence, and accountability to those whose pension savings are entrusted to institutional investors. Therefore, the FSCA investigation should be viewed not only as a regulatory process but also as a chance to bolster public confidence in South Africa's pension investment system. Constructive reform, based on evidence and international best practices, will ultimately benefit pensioners, financial markets, and the South African economy.
Following the suspension of the CEO and acting Chief Investment Officer of the Public Investment Corporation (PIC) amid a worsening corporate governance crisis, the Alliance Democrats has called for urgent parliamentary hearings.
Trade unions, business associations, and political parties are increasingly expressing concerns regarding allegations of management failures within the state PIC, especially after its CEO was suspended on Monday evening.
Trade unions reacted diversely to the announcement that PIC CEO Patrick Dlamini had been placed under 'precautionary suspension'. Claude Naiker from the Public Service Associations (PSA) noted that this move is a significant step towards restoring trust and accountability in the management of public service pension funds.
Naiker added that the PSA has consistently raised serious questions for years about ongoing losses caused by PIC's high-risk private investments. He emphasized that billions of rands belonging to members of the Government Employees Pension Fund (GEPF) were subjected to investments that did not yield expected returns, thereby creating unnecessary risk for the retirement savings of over 1.2 million public servants.
In Naiker's view, the decision made by the PIC board demonstrates that the constant concerns of stakeholders can no longer be ignored. He stated that the principles of accountability and consequence management are fundamental to proper governance and necessary for restoring public trust in the institution. The PSA again urged the Minister of Finance to urgently review the investment mandate governing PIC's operations. While development investments remain important, they must never jeopardize the primary fiduciary duty to protect the pension assets of members.
He also noted that investment decisions must be guided by prudent risk management, transparency, sustainability, and the goal of achieving optimal long-term returns.
Professor Symphiwe Madikizela, an economist from the University of South Africa (Unisa), expressed concern over the misuse of funds, given PIC's role and mandate, as well as the volume of resources entrusted to it. He believes that any raised issue must be thoroughly examined and properly investigated using credible, court-admissible evidence, otherwise, it could negatively affect the reputation of any institution, including Lanseria International Airport.
Matthew Parks, coordinator for the Congress of South African Trade Unions (COSATU) Parliament, stated that the union would never welcome corruption allegations but values PIC's actions in addressing issues affecting millions of workers and pensioners. He stressed that they do not want a return to times of state capture when such serious issues could be swept under the rug.
Parks expressed deep concern over serious allegations of misconduct, possibly criminal in nature, concerning some PIC investments. He insists that the PIC Board must be given the necessary conditions to investigate these allegations, and those responsible must be held fully accountable under the law. He also mentioned that many recommendations of the Judge Lex Mpati Commission have been implemented, including recent amendments to the PIC Act, although some require further work.
The Alliance Democrats (DA) demanded urgent parliamentary intervention, warning that South Africans' pension savings could be jeopardized if governance problems are not resolved. The DA's finance representative, Dr. Mark Burke, stated that Parliament has failed to provide adequate oversight of one of the country's most crucial financial institutions. He pointed out that the PIC chairman and ANC Deputy Minister of Finance David Masondo face whistleblower allegations and a period marked by failed investments, alongside five executives suspended in the last two years.
Burke criticized the Parliamentary Portfolio Committee on Finance for lacking substantive oversight. He argues that in times of crisis, Parliament's constitutional duty is to hold officials accountable. He also questioned the recent Parliamentary recommendation in favour of greater investment flexibility for PIC.
Meanwhile, Parmi Natasan, CEO of the Institute of Directors in Southern Africa (IoDSA), noted that the precautionary suspension should not be seen as an admission of guilt, but it raises important governance questions. He advised the board to ensure leadership continuity, effective delegation of authority, robust risk management, and clear accountability. Natasan also stressed the importance of maintaining stakeholder trust by demonstrating objective and timely adherence to governance processes.
He added that the investigation must be conducted independently, in accordance with due legal procedure and principles of procedural fairness. The board must oversee the process but not interfere with it, ensure appropriate interim measures, and inform stakeholders transparently while adhering to legal and confidential obligations.
