Elon Musk acquires APR Energy for one billion dollars to power Grok

The deal highlights how far companies in the artificial intelligence sector are willing to go to secure energy supply and demonstrates how a significant part of this race occurs outside public view. Notably, Musk, known for his frequent public announcements, did not issue a press release regarding this transaction.

How the Deal Became Known

Information about the deal surfaced in a Federal Trade Commission notification regarding the early termination of the transaction (number 20261350 dated May 14, 2026), where Musk was listed as the acquiring party and New APR Energy LLC as the acquired entity. The value of the deal became clear after Duos Technologies Group disclosed in an SEC filing on May 28 that it sold its 5% non-voting stake for a net profit of $50.4 million, implying a total deal value of at least $1 billion.

APR Energy utilizes modular power units that can be deployed rapidly, typically in regions lacking or having unreliable grid infrastructure. Their turbines can be delivered by truck to a site and begin producing electricity within weeks, without needing connection to the main grid. This capability has become extremely valuable in the age of AI.

Ownership Structure and Governance Issues

A particularly noteworthy detail is the structure of the deal: Musk acquired APR Energy personally, bypassing structures such as Tesla, SpaceX, or xAI. Personal ownership allows him to circumvent disclosure requirements, board oversight, and shareholder scrutiny, while also giving Musk the ability to lease power for his own ventures on his terms.

This raises a natural question: if the turbine fleet exists to solve xAI's energy supply problem, why is xAI not the buyer? APR declined to comment, Fortress Investment Group stated it could not comment, and Tesla did not respond to inquiries.

The paradox is that Musk built his brand and a significant portion of Tesla's valuation based on the transition to clean energy, starting with SolarCity and Powerwall, and the vision of a solar electric economy. Despite Tesla's energy storage division deploying a record 46.7 GWh of batteries in 2025 with better margins than the automotive business, the same individual now personally owns a fleet running on fossil fuels because, in the AI race, speed of energy acquisition is paramount. In December, Musk quietly removed the word 'sustainable' from Tesla's mission.

Regulatory Scrutiny and AI Needs

Regulators are already examining this model: after xAI installed up to 35 turbines without permits in South Memphis, the NAACP, Southern Environmental Law Center, and Earthjustice filed a lawsuit under the Clean Air Act, while the Department of Justice intervened to maintain the operation of the turbines based on national security.

Training and operating large AI models require colossal amounts of electricity, and demand is growing faster than existing grids can expand. Connecting a new data center to the grid in many regions can take three to five years. Mobile turbines reduce this timeframe to days or weeks, as operators classify them as temporary equipment exempt from emission permits, a claim disputed by environmental groups. For capital-intensive AI companies, speed is a critical factor. In 2025, xAI reported losses of $6.4 billion, and downtime for data centers means losing ground to competitors.

Significance of the Deal for the AI Race

This purchase indicates the formation of a parallel energy industry outside of public utilities and, in this case, outside corporate balance sheets. Since energy is becoming a limiting factor for AI, it is expected that critical infrastructure will be held directly by the individuals controlling the AI systems that depend on it. The question is no longer whether AI companies can bypass the grid, but how visible these moves will be.
