Supermarket Income REIT, a UK-registered company listed on the JSE, intends to conduct a rights issue for £100 million (equivalent to approximately R2.2 billion). These funds are earmarked for the acquisition of nine food retail properties totaling £216 million.
These acquisitions align with the REIT's plans to double the size of its investment portfolio. CEO Rob Abraham stated that this financing will enable the company to continue executing its growth strategy, marking another step towards doubling the portfolio. He emphasized that the acquired assets will increase profitability and fit the company's strategy of purchasing well-located retail properties with strong fundamentals.
The rights issue will be conducted via an institutional placement through a book-building process that commenced on Wednesday. It will be available to both new and existing qualified investors. Furthermore, the rights issue will include a share placement for selected qualified investors in South Africa, as well as a retail offering through the Retail Book, allowing existing and new retail investors in the UK to participate in the issuance.
The company anticipates the imminent acquisition of a portfolio of three supermarkets valued at £118 million, with an average net initial yield of 6.9%. The deal is scheduled to close in September 2026. This portfolio includes three stores with a stable sales history, leased under triple-net agreements that are fully linked to inflation and provide 100% investment-grade income.
Among these properties are a Sainsbury's store in Manchester with a rent of £34 per square foot and a 12-year lease term; a Tesco store in Edinburgh with a rent of £33 per square foot and a 5-year lease term; and a Tesco store in Halifax with a rent of £35 per square foot and an 8-year lease term. REIT directors note that the relatively short weighted average lease term of 8 years and the average rent of £34 per square foot open opportunities for restructuring to achieve attractive overall yields.
In addition, there is another portfolio of six food retail properties in the UK, leased to major food chains, with deal closures expected within the next three months totaling £98 million. These assets include five supermarkets in the UK, primarily leased to investment-grade tenants, geographically distributed across the country, as well as one food distribution facility leased to a food tenant at a rate of £14 per square foot. Abraham reported that the issuance and purchase of this expanded portfolio are expected to positively impact earnings per share from the first full financial year with minimal Net Asset Value (NAV) dilution and lead to a reduction in the cost ratio.
The company reported that total shareholder return was 29% since internalizing management in March 2025. As of July 2026, the company owns 131 supermarket properties in the UK and France, directly and indirectly through a joint venture, with a total value of £2 billion. In April 2025, the company formed a 50:50 joint venture with funds managed by Blue Owl Capital (JV), which started with eight existing supermarkets and subsequently acquired ten Asda supermarkets.
On July 2, 2026, the company announced the refinancing of existing debt obligations amounting to £445 million. New credit facilities—a syndicate of £375 million and a bilateral loan of £70 million—will allow the refinancing of all existing unsecured credit lines with maturities exceeding two years. Directors stated that the increase in equity capital should improve liquidity, enhance the market attractiveness of ordinary shares, and secure a broader investor base in the long term. The exact number of new ordinary shares to be issued and their issue price will be announced closer to the book-building process.

This serious infraction results in a fine of R$ 195.23 and the addition of five points to the driver's license.
The complexity of this procedure has caused difficulties, leading the federal government to suspend over 3 million such fines at the beginning of 2026, highlighting the need that the new tool aims to solve.
With ConectCar Free Flow Moto, the user only needs to register their motorcycle's license plate on the company's platform. Based on this registration, the system automatically identifies passage through the Free Flow stretches and charges the toll using the balance available in the ConectCar account, dispensing with any action from the driver during or after the trip.
The service will be made available in MVP (Minimum Viable Product) format, a phase focused on validation and continuous improvement of the technology. Initially, the functionality will be limited to a selected group of clients who will receive an invitation to participate.
The solution is compatible with highways that already charge tolls for motorcycles in Free Flow, covering stretches managed by concessionaires such as CCR RioSP, Caminhos da Serra Gaúcha, and EPR Sul Minas, among others. It is important to note that it does not operate at traditional toll plazas with physical barriers, nor in parking lots.
This launch accompanies the expansion of the free flow model in the country, which currently covers more than 19 highways and has increased the demand for simpler payment methods due to the absence of booths and barriers.
